The whole procedure of establishment will take about 30 working days if everything is going smoothly. The government fees shall be about RMB1, 000.
Conditions of establishment of Single Person Company:
1. The number of shareholder in compliance with regulations of company law. If the shareholder is nature person, the shareholder can only invest to establish one Single Person Company.
2. The investment contributed by shareholder is in compliance with regulations of company law (the minimum registered capital is RMB100, 000, and the shareholder shall contribute sufficiently all registered capital once).
3. The AoA drafted by the shareholder.
4. Company name and necessary company institutions
5. Domicile of company.
The procedure of establishment of Single Person Company
1. Pre-approval of company name;
2. Registration in State Administration of Industry and Commerce or one of its competent lower-lever department(SAIC);
3. Business License;
4. Creation of the Company chops;
5. Registration of the organizational code;
6. Tax Certification;
7. Statistical Certification;
8. Financial Registration;
9. Opening of the bank account;
10. Capital Verification.
Necessary documents which shall be submitted to SAIC
1. Application from for establishment of a company signed by the legal representative of the company;
2. Articles of Association of the company;
3. The copy of ID card of shareholder;
4. Certification of capital verification;
5. Certification of transfer the owner right of non-monetary assets(if any);
6. Appoint letter and copy of ID card of director, supervisor and general manager;
7. Appoint letter and copy of ID card of legal representative;
8. Certification of domicile of company;
9. Notice of pre-approval of name of the company;
10. Other documents required by SAIC.
