勃森国际货运代理（上海）有限公司（丙方）

鉴于：
勃森国际货运代理（上海）有限公司与艾尔姆风能叶片制品（天津）有限公司在2014年11月6日签订的运输合同（主题：45片LM47.6型号叶片到巴西卡贝德卢港，报价序号：MB DK 2014-0533），以及艾尔姆风能叶片制品（天津）有限公司与勃森国际货运代理（上海）有限公司在2014年9月29日达成的运输合同（主题：24片LM47.6型号叶片到巴西卡贝德卢港，报价序号：MB DK 2014-0533），各方同意针对付款事项达成以下协议。
Inlight of theAgreement signed by Martin Bencher Int’lTransportation(Shanghai) Ltd-(Party C) andLM Wind Power Blades (Tianjin) Co.on November 6st2014（SUBJECT：45×LM47.6 P blades to Cabedeloport,Brazil，QUOTENUMBER：MB DK2014-0533）, and the Transport Contract by Martin Bencher Int’lTransportation(Shanghai) Ltd andLMWind Power Blades (Tianjin) Co., Ltdon September 29th,2014（SUBJECT：45×LM47.6 Pblades to Cabedelo port, Brazil，QUOTENUMBER：MB DK2014-0533）, each party agrees to reach a payment agreement as followings.
1、各方确认，乙方已经按照上述合同完成付款给丙方。丙方同意将乙方已经支付给其的款项返还，并且接受来自于甲方的款项。
1、EachParty accepts that the payment success completed from Party B to Party C underthe two Transport Contract above. Party C accepts that the payment from Party Breturns to Party B and collects the payment from Party A.
2、甲方同意,首先支付人民币14,145,527.60元（大写：壹仟肆佰壹拾肆万伍仟伍佰贰拾柒圆陆角整）给丙方。丙方同意此后返还同等数额的人民币给乙方。丙方同意，一旦其收到来自于甲方的款项，其应当在收到款项之日起3日内将总金额为14,145,527.60元（大写：壹仟肆佰壹拾肆万伍仟伍佰贰拾柒圆陆角整）的款项返还给乙方。
2、PartyA accepts to pay RMB 14,145,527.60 for Party C first, then Party C return B thesame RMB amount which Party B paid by last year to Party B. Party C acceptsto return the payment amounted RMB 14,145,527.60 to Party B within 3days oncethey received the fund from Party A.
3、甲方同意承担汇款费用500美元。
本合同具体款项明细如下。
3. Party A agree to burden around 500 USD transaction fee.

4、本协议签订前条款与本协议不一致的，以本合同为准。一旦本合同义务履行完毕，各方与本合同有关的支付款项义务视为免除。
Terms and Conditions shall refer to this paymentagreement。
Each Party accepts that, if this agreementisfulfilled,the obligations for payment in other agreements shall be disged。
5、本协议在协议各方签字并盖章后生效。该协议一式六份，各方各执两份，具有同等法律效力。
This Agreement shall comeinto force upon signature and seal by each party.
This Agreement is made in sixoriginals, each Party holding two with equal legal effect.
